01 · Career fit

Is this the exam for your job?

Start with the functions you will perform. A title can sit in several regulatory lanes, while two people with similar titles can need different registrations.

When to think about it

When an experienced DPP representative is assigned principal oversight of direct-participation-program activity.

Career benefit

Qualifies focused supervision of alternative-program structuring, diligence, sales, and communications.

Jobs that commonly point here

  • DPP principal
  • Alternative-investment supervision manager
  • Private-program due-diligence principal
  • Limited-partnership product supervisor

Before you enroll

  • Firm sponsorship and the Series 22 or another accepted representative prerequisite.
  • A role whose actual functions map to this registration category
  • Employer or regulator confirmation before enrollment

Sponsorship

What it covers

  • Program structure, taxation, offerings, and due diligence
  • Suitability, sales practices, compensation, and communications
  • Supervision, operations, recordkeeping, and compliance

What it does not do

  • Passing Series 39 does not by itself make you registered or authorize activity.
  • It does not replace other representative, principal, state-law, product, or supervisory qualifications your duties may require.
  • It is not proof that an employer is hiring, will sponsor you, or will reimburse prep and exam costs.

03 · From decision to test day

How to take it, step by step.

01

Confirm the registration with the firm

Your future responsibilities—not the job title alone—determine the registration. Ask the hiring manager or registration team which exam and state registrations the role requires.

02

Have the firm open your exam window

A FINRA member or other eligible self-regulatory organization files the appropriate Form U4 and requests the exam through CRD. You cannot self-sponsor this qualification exam.

03

Schedule with Prometric

Once the enrollment window is open, use the enrollment details to choose an available Prometric appointment. Confirm the identification and test-center rules before exam day.

04

Prepare from the official outline

Start with the current FINRA content outline, then use a reputable course, question bank, and timed practice exams. Treat the outline as the source of truth when prep materials disagree.

05

Pass, then complete registration

Passing is one part of the process. The firm must still complete the registration, background, fingerprinting, state, and supervisory requirements that apply before you perform regulated functions.

Where you take it

FINRA-designated Prometric testing; confirm current test-center or permitted online delivery when scheduling. Confirm the current delivery and identification rules with the official administrator when you schedule.

04 · The real cost

Who pays—and what to ask first.

Official exam fee

$200

Current September 2026

  • The official exam fee is $200; prep, registration, fingerprints, travel, and retakes can be separate.
  • The sponsoring firm processes enrollment; ask whether it also pays for prep and retakes.
  • Get reimbursement, study-time, deadline, and failed-attempt policies in writing before buying a course.
  • Never pay a recruiter personally for exam access or sponsorship.

Budget beyond the exam

Prep, travel, replacement identification, state registration, fingerprints, and retakes may be separate. Get the employer's policy in writing before assuming any cost is covered.

05 · Study with intent

Build readiness, not just hours.

01

Download the current FINRA outline before choosing a prep course.

02

Turn every outline section into a checklist and track accuracy by domain, not just overall score.

03

Practice the calculations, suitability judgments, supervision decisions, and prohibited-conduct scenarios that match the job.

04

Finish with timed full-length practice and review why every missed answer was wrong.

If you do not pass

A failed attempt normally triggers a waiting period and a new fee. Confirm the current 30-day and 180-day rules, enrollment window, and any employer-specific attempt limit before rescheduling.

06 · After the result

Passing is a milestone—not the finish line.

Your next three actions

  1. 01Confirm the registration is approved and active before performing covered functions.
  2. 02Learn the firm's written supervisory procedures and escalation path for the role.
  3. 03Track continuing-education, annual attestation, and state or product requirements.

How it commonly fits

  • Firm sponsorship and the Series 22 or another accepted representative prerequisite.
  • Series 39 may sit alongside state-law, product, representative, or principal exams depending on actual duties.
  • A move into broader products or supervision can create additional qualification requirements.

How long the result can remain usable

A passing result is only one part of registration. Ongoing usability depends on association, registration status, continuing education, termination dates, and current regulator rules.

07 · Candidate questions

What people ask before they commit.

01Should I take Series 39 before applying?

Usually no. It requires an eligible firm enrollment, so first target roles that actually need the qualification. The SIE is the common exam candidates can take independently.

02Who normally pays?

Employer practices vary. Some organizations pay the exam, prep course, and study time; others reimburse only after a pass. Ask before you enroll.

03What does passing unlock?

Qualifies focused supervision of alternative-program structuring, diligence, sales, and communications. The registration must still become active before you perform covered work.

04When should I think about it?

When an experienced DPP representative is assigned principal oversight of direct-participation-program activity.
